Costco's defense of its DEI initiatives is less surprising than it might seem

Costco's board has firmly expressed its commitment to diversity, equity, and inclusion (DEI), challenging the growing criticisms of these initiatives from conservative factions, particularly as the U.S. approaches a new presidential administration that has voiced opposition to DEI measures. In a recent proxy statement, the board stated that their focus on respect and inclusion is both "appropriate and necessary," countering a shareholder proposal from the National Center for Public Policy Research that sought a report on the company’s DEI efforts.

This affirmative stance by Costco stands in stark contrast to other major firms that have begun rolling back their DEI programs in response to shareholder pressures and litigation risks. Some companies have even categorized DEI policies as potential liabilities in their financial disclosures, reflecting growing concerns over legal and reputational repercussions associated with these initiatives.

Despite the backlash, evidence suggests that shareholders largely support DEI efforts. A study by the Conference Board revealed that while shareholder proposals aimed at diversity increased significantly from 2023 to 2024, actual backing for anti-ESG proposals declined markedly, dropping from 5% to 2%. The increase in proposals, which tripled in volume, still represents a small fraction of the overall shareholder activity among U.S. public companies.

Costco’s decision to oppose the anti-DEI proposal could redefine the narrative around the popularity of such criticisms. The company categorized the request for further study as reflective of a policy bias and an inefficient use of resources, aligning with its historically frugal ethos.
