🚨 JUSTIÇA ABRE CAMINHO PARA A VENDA DA SAF DO VASCO A 4ª Vara Empresarial determinou a publicação de edital para abrir a disputa pela UPI Equity, que concentra o controle acionário da SAF. A medida busca identificar outros interessados além da Almirante Participações, que ofereceu R$ 500 milhões. ⚠️ A venda ainda NÃO foi autorizada, assim como o financiamento DIP de R$ 150 milhões. O juiz determinou que Administração Judicial, watchdog e gatekeeper apresentem manifestação conjunta até 2/9. O incidente de alienação deverá ser concluído, impreterivelmente, até 4/9. Entre os questionamentos estão: • os cerca de R$ 270 milhões já emprestados pela Almirante às recuperandas, que poderiam gerar vantagem na disputa; • a ausência de uma avaliação independente das ações da SAF; • a arbitragem entre Vasco e 777 sobre a titularidade das ações; • o risco de dificuldades para a CBF aprovar a transferência de controle; • a destinação dos recursos da venda e o pagamento dos credores da recuperação judicial; • os novos empréstimos já contraídos e a projeção de prejuízo de cerca de R$ 300 milhões até o fim do ano. O magistrado ainda fez um alerta sobre a necessidade de avaliar o impacto de novos empréstimos: “a fim de que o remédio não mate o paciente.” Caso a operação seja autorizada e a proposta da Almirante prevaleça, a 777 deixará de controlar a SAF do Vasco.
